By accessing or using the Banlo website at banlo-toys.com ("Site"), submitting an inquiry, or entering into any business relationship with Banlo ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms").

If you are accessing the Site or engaging with Banlo on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree with any part of these Terms, please do not use our Site or services.

These Terms apply to all visitors, customers, business partners, and others who access or use the Site.

You agree to use our Site only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the Site in any way that violates applicable local, national, or international laws or regulations.

The Banlo name, logo, and all related product names and designs are trademarks or trade dress of Banlo. You may not use any of our trademarks without our prior written permission.

You may view and print pages from the Site for your own personal, non-commercial use, provided you retain all copyright and other proprietary notices. No other use is permitted without our express written consent.

Banlo operates as a B2B toy manufacturer and exporter based in Shantou, China. Product information, pricing, minimum order quantities (MOQs), and availability are subject to change without notice and must be confirmed directly with our sales team.

Inquiries submitted through this Site or via email do not constitute a binding order. A binding purchase agreement is only formed upon the execution of a written sales contract or purchase order accepted by Banlo.

We manufacture and supply hundreds of toy models across categories including educational toys, building sets and puzzles, remote-control and electric toys, stress-relief and novelty toys, and water toys. Product images on the Site are illustrative. Please contact us to obtain current product catalogues, samples, and detailed specifications.

Banlo offers OEM (Original Equipment Manufacturing) and ODM (Original Design Manufacturing) services. When you engage us for custom development or branded manufacturing, the following applies:

• Design ownership: Designs, tooling, and molds developed exclusively for your brand remain your property upon full payment, as specified in the relevant contract.
• Third-party IP: You warrant that any designs, logos, or trademarks you provide do not infringe any third-party intellectual property rights. You agree to indemnify Banlo against any claims arising from your supplied materials.
• Samples & approval: Production commences only after written approval of pre-production samples by the customer.
• Payment terms: Specific payment schedules, deposits, and milestone payments are defined in individual contracts and may vary by project.

During the course of our business relationship, either party may disclose confidential information including but not limited to product designs, pricing, business strategies, and technical specifications.

Both parties agree to keep such information confidential and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives the termination of any business relationship.

If a Non-Disclosure Agreement (NDA) is required for your project, please request one during your initial inquiry. We are happy to accommodate formal NDA arrangements for sensitive development projects.

The Site and its content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We make no warranty regarding the accuracy, completeness, or reliability of any content on the Site.

Product specifications, certifications, and capabilities described on the Site are provided for general informational purposes. Final specifications are subject to confirmation in writing.

To the fullest extent permitted by applicable law, Banlo and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with:

• Your access to or use of (or inability to access or use) the Site;
• Any conduct or content of any third party on the Site;
• Any content obtained from the Site;
• Unauthorized access, use, or alteration of your transmissions or content.

Our total liability to you for any claims arising under these Terms shall not exceed the amount paid by you to Banlo in the three months preceding the claim, or USD 100, whichever is greater.

Your privacy matters to us. When you submit an inquiry or contact us, we collect the information you provide (such as name, email address, company, and message) solely for the purpose of responding to your inquiry and managing our business relationship.

We do not sell, rent, or share your personal information with third parties for marketing purposes. Information may be shared with trusted service providers who assist us in operating our business, subject to confidentiality obligations.

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or your use of the Site shall be first attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts or arbitration bodies in Shantou, Guangdong Province, China.

Notwithstanding the above, individual contracts and purchase agreements may specify alternative dispute resolution mechanisms and governing law, which shall take precedence over these Terms for matters covered by such contracts.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. The "Last updated" date at the top of this page will be revised accordingly.

Your continued use of the Site after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically. If you do not agree to the revised Terms, please discontinue your use of the Site.
